Who we are
KANE & COMPANY was structured as a FINRA/SEC/SIPC registered investment banking firm in 1991 exclusively to focus on providing investment banking advisory services to corporate clients and special committees of their Boards of Directors, without the structural sources of conflicting business interests inherent in full-service firms with brokerage, trading, research and asset management departments. We have chosen our scope of client services very carefully to maximize the effect of our strengths: superlative competency, unrivaled independence and creative resourcefulness. We are built to build and deliver superior shareholder value through intelligently prepared, well-engineered transactions.
We have distilled some approaches and philosophies to serving our clients better that derive from three decades of alert, engaged observation of the investment banking, legal, accounting and strategic business aspects of the world of M&A. Knowing what we know, seeing what we have seen, we offer you what we would want our investment banker to bring to the table. Some examples:
Active Selling. Meeting all of the seller’s objectives, including especially finding and closing on the highest obtainable price, requires active selling. Doing so takes industry competence, diligent digging and creativity to find and accurately describe all of the value locked in the business. It does not work to issue a “one-size-fits-all” descriptive memorandum, slap a big brand name on it, sit passively and wait for incoming orders. To succeed as you would wish us to, we need to take charge, and that is what we do. We deploy senior people, with broader and deeper skill sets, more experienced, better organized, to lead and collaborate with our staff and yours every step of the way. Active selling is the only reliable way to sell a business at the optimal price.
Seniority is Everything. The senior KANE & COMPANY staff you meet in the initial meeting are the same professionals who will execute your assignment. While the large firms may relegate your work to mid-level (and lower) personnel, we deliver a working team of seasoned professionals, most often with the breadth and depth of experience greater than that of any other team you will meet or interview.
We Staff for You. Every business is different, thus transactions, particularly M&A transactions, can be unique as to subject matter. We pride ourselves in our ability to customize the perfect team for your assignment, rather than force a predetermined staff to meet a new challenge. Unrivaled Access to Information. Just like the full-service investment houses, KANE & COMPANY is qualified and authorized to execute M&A, Capital Markets and Underwriting functions. But there’s a difference: we don’t have internal sales, trading, research and asset management departments that we are forced to utilize; that is, in these areas, we are sources of business for – not competitors with – the giant investment banks. As a result, we can access, pool, synthesize and provide you with the research capabilities relevant to your transaction from the major investment banking firms, not just the knowledge of a single, captive department.
Disciplined Discretion. If your information goes into Kane & Company, you can rely on it not coming out, except in ways planned for selected audiences at particular times. We are extraordinarily good at keeping the lid on what you are doing and what we are doing for you. In addition to our own discipline, we have a structural advantage as a firm in that we have no “market facing” departments such as stock brokerage, trading, securities research or asset management. Michael Kane, Ph.D., J.D.
Dr. Kane founded Kane & Company in 1991, is the firm’s Managing Partner, and has guided its 27-year distinguished track record advising sellers and buyers of public and private companies, issuers of securities devising and executing capital markets strategies, and companies (and their subsidiaries and business units) that can be better positioned, or restructured, to increase their value to shareholders.
Prior to Kane & Company, Dr. Kane headed the Technology Investment Banking Group at Oppenheimer & Co., Inc. (now CIBC World Markets), having begun his investment banking career in New York with L.F. Rothschild, & Co., Inc. His financial advisory experience on Wall Street encompassed mergers, acquisitions, divestitures, restructuring, public (IPOs, Follow-ons), and private (Institutional) offerings of equity, debt and hybrid securities and strategic financial planning. Before entering the field of investment banking, Dr. Kane practiced M&A, corporate, securities and computer law at the firm of Irell & Manella in Los Angeles.
Earlier in his working life, Dr. Kane was employed by Hughes Communications, Inc., a subsidiary of Hughes Aircraft Company, early in the life cycle of the Galaxy Satellite System (the first commercial satellite system to serve the Cable Television and Telecommunications Industries), contributed to the start-up of the satellite system business that became DirecTV. Prior to this, Dr. Kane was a Project Leader in the Systems Sciences Department of The Rand Corporation, focused on advising agencies and military services of the US Government on strategic military command, control, communications and intelligence matters.
Dr. Kane earned his M.A., Ph.D. and J.D. degrees from UCLA and his B.A. from the University of Wisconsin – Madison. He earned the American Jurisprudence Prize in Contracts at UCLA Law School, a 4-year UCLA Regent’s Graduate Studies Fellowship at UCLA Graduate School and a Ford Foundation International Security Fellowship. Dr. Kane is a veteran of the U.S. Navy.
Dr. Kane has served on the Boards of Directors of NYSE and NASDAQ listed public companies; he holds Series 24, 7, 79 and 63 registrations in the US securities industry.
Dr. Kane has contributed to SEC Rule-Making Proceedings, particularly in the formation of new rules to govern Fairness Opinions issued in connection with public securities transactions. He has also designed, tested, executed and proven the value of an innovative role for an independent underwriter in public securities transactions to position and realize maximum valuations and serve as the issuing company’s proponent in the process of planning, preparing and project-managing all types of public offerings of securities, particularly public equity offerings. The “Independent Underwriter(sm)” role has since been adopted and fielded by other independent securities firms on behalf of their securities-issuing clients – underlining the utility of the innovation to companies raising money in the public securities markets.
